Terms of Service

These Terms of Service (“Terms”) govern your use of LangClip, including the website at app.langclip.com and the LangClip browser extension (together, the “Service”). By creating an account or installing the extension, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old (16 in the European Economic Area) to use the Service. By using the Service you represent that you meet this requirement and that you have legal capacity to enter into this agreement in your jurisdiction.

• You are responsible for keeping your sign-in credentials and any connected browser secure.
• You may not share your account with others or use one account to provide the Service to multiple people.
• You may not create more than one account to circumvent quota limits or evade a suspension.
• You may delete your account at any time from Settings. We may retain a minimal record after deletion as described in our Privacy Policy.

LangClip helps you learn languages from YouTube subtitles. The Service consists of a browser extension (distributed via the Chrome Web Store; works in Chromium-based browsers such as Google Chrome and Brave. A native Microsoft Edge listing is planned) that captures the subtitle you select on YouTube, a server that produces an AI-powered analysis (translation, vocabulary breakdown, grammar notes), and a web app where you review saved phrases as spaced-repetition flashcards.

New accounts start on a free trial plan with 50 Learning credits in the extension.^* To continue beyond the cap, you can subscribe to the Plus plan.

^* Each phrase uses one Learning credit — translation, word breakdown, and Details (grammar notes and patterns in use) are all included.

LangClip is an independent product and is not affiliated with, endorsed by, or sponsored by YouTube or Google.

All payments for the Service are processed by Lemon Squeezy, which acts as the Merchant of Record (MoR).

As MoR, Lemon Squeezy is responsible for:

• Payment processing and invoicing
• Tax calculation and regulatory compliance
• Refund and chargeback handling

All transactions are subject to Lemon Squeezy’s terms and refund policies. By purchasing a subscription, you agree to be bound by those terms in addition to these Terms.

For the avoidance of doubt, Lemon Squeezy is the seller and contracting party for all paid subscriptions. LangClip provides the Service to users under a separate service arrangement with Lemon Squeezy.

Subscription fees are billed in advance according to the selected plan (for example, monthly).

We may change subscription pricing, plan features, and usage limits from time to time. For active subscribers, any material change to pricing or plan features will take effect at the next renewal after we provide at least 30 days’ prior notice through reasonable means (which may include the dashboard, a banner on the website, or email). If you do not accept a change, you may cancel before it takes effect.

You can cancel your subscription at any time from your account Settings. After cancellation, you retain full access to Plus features until your current billing period ends. To resubscribe after that, you can purchase a new plan anytime.

By deleting your account:

• Your access to the Service will be stopped immediately
• Your subscription will be terminated and no further billing will occur
• Your account and associated personal data will be scheduled for deletion in accordance with our data retention practices
• Once deleted, your account cannot be restored; continued use of the Service requires creating a new account

Re-registering for the trial plan after a prior trial has been consumed is not permitted.

Account deletions do not qualify for refunds. By deleting your account, you forfeit any remaining subscription period.

Cancellations made during an active billing period do not qualify for prorated or partial refunds; your current plan continues until the billing period ends.

Nothing in these Terms limits any non-waivable consumer rights under applicable law. Refunds are provided where required by applicable consumer protection laws or where permitted under Lemon Squeezy’s refund policy.

All prices are displayed exclusive of taxes.

Applicable taxes, including Japanese consumption tax, VAT, GST, or similar charges, may be added at checkout based on your billing location and local tax regulations. These taxes are collected and remitted by Lemon Squeezy as MoR.

Nothing in these Terms shall exclude or limit any mandatory consumer rights under the laws of Japan or other applicable jurisdictions.

Where these Terms conflict with non-waivable consumer protection laws, such laws shall prevail.

The Service’s software, user interfaces, branding, database schema, and internal AI prompt templates are owned by us or our licensors and are protected by copyright, trademark, and other laws.

AI-generated analysis output (translations, corrections, vocabulary breakdowns, grammar notes, and example sentences) is produced by third-party AI providers. Rights in such output are governed by the terms of the underlying AI provider (for example, OpenAI’s terms of use, which currently assign output rights to the requesting party subject to that provider’s policies). We make no claim of exclusive ownership over the AI output shown to you. Source material excerpted from third parties (for example, YouTube video subtitles) remains the property of its respective rights holders.

LangClip does not claim ownership of, or provide licenses to, any third-party content displayed through the Service.

You retain any rights in the content you contribute (such as manually created flashcards or notes). You grant us a limited, non-exclusive licence to store, process, and display that content solely to operate the Service for you.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the software or interfaces of the Service without prior written consent.

The Service uses artificial intelligence to generate content, including translations, subtitle corrections, vocabulary breakdowns, grammar notes, and example sentences.

While we strive for quality and accuracy, AI-generated outputs may contain errors, inaccuracies, omissions, or cultural misunderstandings. We do not guarantee that any AI-generated content is fully accurate, reliable, complete, or appropriate for all contexts.

In particular, the “subtitle correction” feature edits auto-generated YouTube subtitles to produce a best-guess transcript. Corrections are heuristic AI output and may misinterpret speech, alter meaning, or introduce mistakes not present in the original subtitles. We do not guarantee that corrected subtitles faithfully reflect what the speaker said, and they should not be used as a source of record for the underlying video.

AI-generated content is provided for language-learning support only and should not be treated as definitive or professional advice. You are responsible for verifying any information independently before relying on it.

By submitting subtitle text, saved phrases, flashcard notes, or other content to the Service (“User Content”), you grant us a non-exclusive, royalty-free, worldwide license to use, process, store, and transmit such content solely as necessary to provide and operate the Service, in accordance with these Terms and our Privacy Policy.

We do not use User Content to train our own AI models. User Content may be processed by third-party AI providers (currently OpenAI) solely to deliver the Service and in compliance with applicable data protection laws.

The Service interacts with YouTube subtitles. YouTube’s terms and copyright policies continue to apply to that content; you are responsible for respecting the rights of subtitle authors and channel owners. We do not download or redistribute videos themselves.

LangClip analyzes subtitle text solely to provide language-learning features. Users are responsible for complying with YouTube’s Terms of Service and applicable copyright laws when using the Service.

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service for illegal, fraudulent, or harmful purposes
• Interfere with or disrupt the Service, its systems, or its infrastructure
• Use automated means (bots, scripts, scrapers) to interact with the Service except via the documented extension or APIs we publish
• Resell or sublicense the Service or its outputs as a competing translation or language-learning product

Suspension and Termination

We may suspend or terminate your account immediately if we reasonably believe you violate these Terms, abuse the Service, or create security risks.

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of accuracy, reliability, availability, non-infringement, or fitness for a particular purpose.

AI-generated outputs are provided for learning support purposes only and do not guarantee accuracy, completeness, or specific learning outcomes. Your use of the Service is at your own risk.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for willful misconduct or gross negligence.

We collect and process personal data in accordance with our Privacy Policy.

Lemon Squeezy may also process personal data for payment, tax, and compliance purposes under its own privacy policy.

Trial Abuse Prevention

To prevent abuse of the trial plan, we may retain email addresses for a limited period after account deletion. This retention is based on our legitimate interest in fraud prevention and is used solely to enforce trial eligibility. The retained data is not used for marketing or communications and is automatically deleted after the retention period.

We use cookies and third-party services to enable authentication, monitor errors, and process payments. See our Privacy Policy for the full list of sub-processors.

You may disable cookies through your browser settings; however, some features of the Service may not function properly.

We are not responsible for issues arising from third-party services beyond our reasonable control.

We may modify, suspend, or discontinue all or part of the Service for business, technical, or operational reasons.

Where reasonably practicable, we will provide advance notice of material changes. We are not liable for losses or damages resulting from service interruptions, modifications, or discontinuation, except as required by applicable law.

Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, war, civil unrest, pandemics, labor disputes, internet or telecommunications outages, government actions or restrictions, and outages or failures of third-party providers on which the Service depends (such as hosting, authentication, payment, or AI providers).

These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Nothing in this section limits any mandatory consumer protection or data protection rights that apply in your country of residence and cannot be waived by contract.

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiations. If the dispute remains unresolved after 30 days, it shall be submitted to the Tokyo District Court as the agreed court of first instance for non-consumer disputes and for disputes with consumers who have consented to that forum.

Consumers retain the right to bring claims before, and to defend claims in, the courts of their country or place of habitual residence where such rights cannot be waived under applicable law. Nothing in these Terms constitutes a waiver of any non-waivable statutory right, and no provision of this section is intended to require a consumer to travel outside their country of residence to enforce their rights.

If any part of this section is held to be unenforceable in a particular jurisdiction, the remainder shall continue in full force and effect in that jurisdiction, and the unenforceable part shall be replaced by a valid provision that most closely reflects the original intent, to the extent permitted by applicable law.

We may assign or transfer our rights and obligations under these Terms to any successor entity, affiliate, or third party without prior notice to you, provided that such assignee agrees to be bound by these Terms.

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

We may update these Terms from time to time. For material changes, we will provide notice at least 14 days before the change takes effect through reasonable means, which may include the dashboard, a banner on the website, or email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
